Introduction

Pinpoint is a platform operated by Infusion Lawyers, where early-stage startups and small, and medium enterprises (SMEs) are transformed into investment-ready powerhouses, connecting them to early-stage capital and catalysts for success (“the Services”).

These Terms of Use constitute a legal agreement (“Agreement”) between you (the “user,” “you” or “your’”) and Pinpoint (“we,” “our,” or “us”).

By using Pinpoint, you agree that:

• You have read, understood, and are legally capable of entering into a legal agreement.
• You shall comply with and be bound by these Terms of Use.

1. Definition

“Investor” means any individual or entity seeking to discover and invest in early-stage startups or SMEs. 

“Minimum Legally-compliant Product (MLP)” means the legal framework provided by Infusion Lawyers to ensure startups meet essential compliance and legal requirements before engaging with investors.

“PIN” is the exclusive network of early-stage startups & SMEs, investors, and partners in the Pinpoint ecosystem.

“Services” include the connection of early-stage start-ups and SMEs with investors, networking events, and workshops.

“Startup” means any early-stage company or entrepreneur seeking investment through the Pinpoint platform. 

“User” means any individual or entity using the Platform, including Startups, Investors, legal professionals, and advisors.

2. Services

2.1. Our Services help early-stage startups and SMEs scale the challenges they face in securing investment, despite their potential for growth and innovation. Specifically, our Services are:

• Transforming Startups and SMEs into investment-ready powerhouses: With our PARAGON Model for startups and SMEs, we ensure that the startups and SMEs that are eligible for inclusion in our portfolio are investment-ready, having refined their business models, improve their operations, and develop robust financial projections.
• Connecting Startups and SMEs with investors: We facilitate introductions between you and our network of investors, including venture capitalists, angel investors, and private equity firms.
• Providing capital and catalysts for success: Our platform offers you access to funding opportunities, guidance and mentorship, and strategic partnerships, enabling you to scale and achieve their growth potential.
• Legal Compliance Support (MLP): Startups and SMEs receive assistance in ensuring their business is legally structured and compliant before engaging with investors.

2.2. Pinpoint does not provide financial, legal, or investment advice. Users should seek professional guidance before making investment decisions.

3. Membership

3.1. To access Pinpoint, you must become a member of “PIN,” our exclusive network. Membership provides access to curated startup profiles, investment opportunities, and our network of partners and industry experts.

3.2. To enroll for membership, you must meet Pinpoint’s  criteria, either to be listed on the platform as a startup or SME or provided exclusive access as an investor, as communicated to you through our publications on our website, emails, or other approved channels by Pinpoint.

4. Using our Services

4.1. User Eligibility

To use the Platform, you must:

• Be at least 18 years old (or the legal age of majority in your jurisdiction).
• Have the legal capacity to enter into a binding agreement.
• If you are an Investor, meet any applicable legal requirements to participate in early-stage investments.

We reserve the right to verify your identity and request additional documentation before granting full access to the Platform.

4.2. User Obligations

To access and continue using the Services, you agree that:

• As a Start-up or SME, you must provide accurate and up-to-date information about your entity.
• As an investor, you must conduct your due diligence before making investment decisions.
• You must comply with all applicable laws and regulations.
• You are responsible for maintaining the confidentiality of your login credentials.

4.3. Fees

You acknowledge and accept the applicable fees on our Platform as follows:

• Success fees: Earned from successful funding rounds and exits, ensuring that our interests are aligned with those of our Startups. Success fee is 5% of the investment amount.
• Subscription fees: Generated from users who have subscribed to our premium services, providing access to exclusive content, events, and networking opportunities.
• Consultancy fees: Earned from providing bespoke consultancy services to startups and SMEs, helping them navigate the business and investment landscape and achieve their growth objectives.

4.4. Prohibited Activities

You agree to use Pinpoint for lawful purposes only, and in your use of the Services, you shall not do any of the following:

• Breach, compromise, or circumvent any of the Services or otherwise attempt to gain unauthorized access to the Services.
• Remove, alter, or obscure any copyright, trademark, or other intellectual property or proprietary notices contained in the Services.
• Distribute, rent, sublicense, lease, lend, sell, resell, assign, transfer, transmit, stream, broadcast, or otherwise make available or exploit any features or functionality of the Services.

4.5. Actions by Pinpoint

If we determine that you have engaged in any Prohibited Activities as defined in 4.2 above, we will enforce appropriate measures in our sole and absolute which may include the following: 

• Reporting to law enforcement or other authorities, suspending or terminating your access to the Services.
• Demanding you to pay a determined amount to us, where your actions or inaction result in the imposition of economic costs to us, including without limitation, the amount of taxes or penalties that might be imposed on us.
• Refusing to provide the Services to you now and in the future.
• Holding your assets in our possession for a period of time reasonably needed to protect against the risk of liability to us.

5. Privacy Notice

5.1. By using our Services, you consent to the collection, use, storage, transfer, and disposal of your information as described in our Privacy Notice, which includes any information you choose to provide that is deemed sensitive under applicable laws and regulations. Furthermore, you agree to the Privacy Notice and consent to the processing of any personal data described in the Notice and you warrant that all data that you provide to us is accurate.

5.2. Startups, SMEs, and Investors acknowledge that participation on the Platform does not create an attorney-client privilege with Infusion Lawyers.

6. Intellectual Property

6.1. Pinpoint’s Intellectual Property

“Pinpoint” and all other URLs, logos, and trademarks related to the Services belong to Infusion Lawyers. You agree that you shall not copy, imitate, or use them without our prior written consent. In addition, you shall not use them in a manner that is disparaging to us or our Services, or display them in any manner that implies our sponsorship or endorsement. Every right, title, and interest in the Pinpoint website and any content on it, the Services, the technology related to the Services, and any technology and content created or derived from them is the exclusive property of Infusion Lawyers and its licensors.

6.2. Your Intellectual Property

We respect your intellectual property rights and are committed to ensuring that your proprietary content remains protected. You retain all rights, title, and interest in and to your content (e.g., pitch decks, business plans). However, by submitting content, you grant Pinpoint a non-exclusive, royalty-free license to use, store, and display such content for investment matchmaking purposes. Pinpoint acknowledges that it does not acquire any ownership rights in your content by virtue of your submission. Any use of your content by Pinpoint is solely for the purpose of providing the Services and facilitating investment matchmaking. Pinpoint will not use, disclose, or distribute your content for any other purposes without your explicit consent.

7. Limitation of Liability

PINPOINT DOES NOT GUARANTEE INVESTMENT SUCCESS, FINANCIAL RETURNS, OR THE LEGITIMACY OF STARTUPS AND INVESTORS BEYOND THE PURVIEW OF ITS SCREENING PROCESS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PINPOINT, ITS AFFILIATES, EMPLOYEES, AGENTS, PARTNERS, OR SUPPLIERS SHALL NOT BE LIABLE FOR ANY CLAIM, LOSS, DAMAGE, INJURY, DELAY, INTERRUPTION, OR ANY INCIDENTAL, INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES, SUCH AS LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, LEGAL FEES, OR OTHER EXPENSES ARISING FROM:

1. YOUR INABILITY TO ACCESS OR USE PINPOINT SERVICES;
2. ANY DECISION OR ACTION TAKEN BY PINPOINT AFFECTING YOUR RIGHTS, WHETHER DUE TO NEGLIGENCE OR OTHERWISE;
3. ANY STATEMENTS, OFFERS, OR REPRESENTATIONS MADE BY THIRD PARTIES ABOUT PINPOINT OR ITS SERVICES;
4. VIRUSES, MALWARE, OR OTHER HARMFUL CODE TRANSMITTED THROUGH THE PLATFORM; 
5. THE CONDUCT OR CONTENT OF ANY THIRD PARTY USING THE SERVICE; AND
6. ANY INVESTMENT TRANSACTIONS CONDUCTED THROUGH THE PLATFORM.

IN NO EVENT SHALL PINPOINT OR ITS AFFILIATES BE LIABLE FOR ANY CLAIMS OR DAMAGES EXCEEDING THE TOTAL FEES PAID BY YOU TO PINPOINT IN THE THREE MONTHS PRECEDING THE EVENT THAT GAVE RISE TO THE CLAIM.

USERS AGREE TO INDEMNIFY AND HOLD HARMLESS PINPOINT, INFUSION LAWYERS, AND ITS AFFILIATES FROM CLAIMS, DAMAGES, OR LIABILITIES ARISING FROM THEIR USE OF THE PLATFORM.

8. Termination

8.1. Pinpoint has the right, at its discretion and without liability to you, with or without prior notice, or with or without your consent, to temporarily terminate or permanently terminate your access to all parts or any part of the Services. 

8.2. In case you violate any provisions of these Terms of Use, we reserve the right to remedy such violations, including without limitation, the right to restrict, suspend, or terminate your access to the Services without notice; and whenever the need to cooperate with law enforcement regarding enquiries or need to comply with law arises, we shall be entitled to disclose information including your user identity and personal details.

8.3. You may terminate this Agreement by giving us a three (3) months’ written notice. If there is any pending investigation against you at the time of termination, we may hold the termination until the conclusion of such investigation.

9. Amendments

Pinpoint may amend these Terms from time to time. You should visit the website regularly to check when the Terms were last updated (as displayed at the top of this page) to review the current Terms. We will notify you of any amendments to the Terms that we consider likely to materially affect your rights and obligations. Such a notice will be posted on our website or sent to you by email. Your continued use of the Services after any amendment to these Terms constitutes your acceptance of the Terms, as modified by such amendment.

10. Dispute Resolution

10.1. Any dispute arising from your use of the Services shall first be resolved through good-faith negotiations between you and Pinpoint.

10.2. If we fail to reach a resolution within 30 days of good-faith negotiations, the dispute shall be referred to mediation. 

10.3. If mediation fails or there is a failure to agree on a mediator within another 14 days after the initial 14 days, the dispute shall be referred to the Lagos Multi-Door Court House (LMDC) for resolution. The proceedings shall be conducted in English Language and the Laws of the Federal Republic of Nigeria shall apply. Online dispute resolution mechanisms may be adopted for the parties.

11. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, and you irrevocably submit to the exclusive jurisdiction of the courts in that State or location.
